Sonevalley respects the rights of such entities and cannot be deemed to be infringing on the respective copyrights or businesses of such entities .Sonevalley reserves the right, in its sole discretion and without any obligation, to make improvements to, or correct any error or omissions in any portion of the Information.

Sonevalley reserves the right to change, modify, amend, or update the Agreement from time to time and such amended provisions of the Agreement shall be effective Immediately upon being posted on the Web Site. If you do not agree to such provisions, you must stop using the service with immediate effect. All Web Site Content including Website Information is copyrighted to Sonevalley excluding any third-party content and any links to any third-party websites being made available or contained on the Web Site. User(s) may not use any trademark, service mark or logo of any independent third parties without prior written approval from such parties.

IV. DELIVERY AND SHIPPING TERMS

If any Products to be delivered under this Contract cannot be shipped to or received by Buyer when ready due to any cause attributable to Buyer, Seller may ship the Products to a storage facility, including storage at the place of manufacture or repair, or to an agreed freight forwarder. If Seller places Products into storage, the following apply: (i) title and risk of loss immediately pass to Buyer, if they have not already passed, and delivery shall be deemed to have occurred; (ii) any amounts otherwise payable to Seller upon delivery or shipment shall be due; (iii) a fee of two percent (2%) of the value of the Products will be charged to Buyer; and (iv)When conditions permit and upon payment of all amounts due, Seller shall make Products and repaired equipment available to Buyer for delivery.

V.CANCELLATION OF PURCHASE ORDER:

Buyer may cancel its order only with the prior written consent of Seller, which Seller may withhold in its sole discretion. All cancelations will be subject to payment to Seller of reasonable and proper cancelation charges. Buyer may return Products only at its sole cost and only with the prior written authorization of Seller, subject to a restocking fee as agreed by the parties. No returns of special, custom, or made- to-order Products will be permitted.

VI.PAYMENT CONDITIONS, PAYMENT TRANSACTIONS

• Verification of the invoice by Purchaser has to be carried out within 07 days after its receipt. When no objection is made during this term, the invoice shall be considered as acknowledged.
• For defaults in payment, the legal provisions shall apply. In addition to that, Seller shall be entitled to keep back further deliveries or partial deliveries even when already confirmed and to make these, in Seller’s discretion, dependent on prepayment of the purchase price or provision of adequate security. If Purchaser defaults at least two payments from the business relations with Seller, any and all payment obligations of Purchaser under any and all business relations with Seller shall become due immediately.
• Payments shall only be deemed as effected when the respective amount has been finally credited to a bank account of Seller.

These terms of use shall be governed by and construed in accordance with the Laws in India. Any dispute arising under these terms of use shall be subject to the exclusive jurisdiction of the courts in Mumbai.
